If passed, this proposal would require the company to hold a non-binding, advisory shareholder vote regarding potential large severance payments to executives (so-called "golden parachute" provisions) in the event of a future change of control. However, after evaluation, ISS believes that Warner Bros. Discovery's current corporate governance structure and executive compensation practices are already sufficiently robust. Introducing such an advisory vote is deemed unnecessary and may add unwarranted complexity. ISS noted that company management has demonstrated a focus on shareholders' interests and maintained a strong alignment between pay and performance. Therefore, ISS recommends that investors support management’s position and vote against this proposal. The results of the special meeting vote will influence the direction of the company’s future governance policies.
