According to Zhitong Finance APP, Gravitics Holdings (GVTX.US), which specializes in the development of large-scale space structures and orbital systems, filed its prospectus with the U.S. Securities and Exchange Commission (SEC) on Monday, July 20, planning to raise up to $125 million through an initial public offering (IPO).
The company is mainly engaged in the design, development, and commercialization of large space structures, producing orbital carriers, cargo logistics spacecraft, and space station modules for both government and commercial clients. Its flagship commercial contract is a fixed-price agreement worth $125 million signed with Axiom Space.
This listing is structured as a reverse merger through a combination with the shell company Non-Invasive Monitoring Systems. The latter previously developed non-invasive whole-body periodic acceleration therapy platforms, ceased operations in 2019, and has since been seeking a reverse merger partner. Currently, Non-Invasive Monitoring Systems is listed on the OTC Pink market under the trading code "NIMU" with a market capitalization of about $12 million. Upon completion of the merger, the surviving entity will be renamed “Gravitics Holdings” and will apply to list on the Nasdaq Stock Exchange.
Gravitics Holdings was founded in 2021 and is headquartered in Miami, Florida. The company plans to list on Nasdaq under the stock code “GVTX,” having previously submitted a confidential application on April 21, 2026. The sole book-running manager (lead underwriter) for this offering is Lucid Capital Markets.
