- Consideration set at about $450 million in cash, $50 million in Joby common stock; stock price for the equity portion fixed at signing.
- Resonant generated more than $100 million in trailing-12-month revenue, up about 40% year over year, with high-teens adjusted EBITDA margins.
- Resonant is set to become Joby’s dedicated defense unit, keeping the Resonant Sciences name under CEO J. Micah North.
- Closing targeted for the first half of 2027, subject to customary conditions.
