H.B. Fuller Says Ancora Sought Building Adhesives Solutions Unit in All-Cash Deal

H.B. Fuller confirmed that it received an unsolicited proposal from Ancora Holdings Group to buy its building adhesives solutions business for $1.1 billion to $1.2 billion in an all-cash deal.
The adhesives manufacturer said Wednesday it received Ancora's proposal earlier in the day and that its board will evaluate the proposal with financial and legal advisers.
Ancora had "previously expressed a passing verbal interest" in such a deal, its offer was the first proposal it had made to acquire the business, H.B. Fuller said.
A private wealth manager with about $11.7 billion in assets, Ancora sent a letter to H.B. Fuller's board on Wednesday outlining the proposed deal, which it said was a better alternative to an activist campaign to oust certain members of the board.
