- Arum will control the issuer under Italy’s TUF once the agreement is in force.
- Governance terms include joint board list at the 2027 board renewal, with two Dompé-designated directors.
- Dividend policy targets at least 50% of distributable profit; agreement runs three years from Aug. 11, 2026.
