- Deal consideration included 389,289,254 Class A shares, based on an implied Cursor equity value of $60 billion.
- SpaceX also issued 1,752,426 Class A shares for vested Cursor RSUs, before tax withholding.
- Issuance relied on the Securities Act Section 4(a)(2) exemption for transactions not involving a public offering.
