- Consideration includes cash funded by a EUR 40.25 million PIPE, with remaining payment in Valerio shares via in-kind Etherna share contributions.
- Valerio issued 68,220,333 new shares at EUR 0.59 each; settlement-delivery is expected Aug. 26, 2026.
- Shareholder approval for the in-kind contribution leg is targeted for around Oct. 6, 2026, backed by undertakings exceeding 70%.
- Transaction adds Etherna’s mRNA and LNP platforms and GMP manufacturing, supporting Valerio’s push into targeted RNA delivery beyond the liver.
