- Shares may be issued in unregistered sales under Securities Act Section 4(a)(2) and Rule 506(b), subject to conditions including an effective resale registration statement.
- Issuance cap set at 5,077,554 shares, or 19.99% of outstanding stock, unless shareholder approval is obtained or pricing meets a USD 2.77 base price.
- Roth ownership limited to 4.99% of outstanding shares; pricing set at a discount to VWAP, with no upper limit on price.
- Proceeds earmarked for working capital and general corporate purposes; agreement runs up to 36 months from commencement.
