Moderna to Offer $2 Billion in Convertible Notes in Private Placement

07:39 AM EDT, 08/27/2026 (MT Newswires) -- Moderna (MRNA) plans to offer $2 billion worth of convertible senior notes due 2032 in a private placement, the company said Thursday. Moderna also plans to grant initial purchasers a 13-day option to acquire up to $300 million worth of additional notes, it said. The final terms of the notes will be disclosed at the time of their pricing, the company said. Moderna expects to use the net proceeds from the offering to pay the cost of certain associated capped call transactions and for general corporate purposes, the company said.
