Fincantieri bylaw changes cap non-state shareholders at 5% voting stake
Reuters2026/09/10 10:33- Fincantieri updated its bylaws dated Sept. 1, 2026, keeping share capital at EUR 881.81 million split into 361,128,223 no-par-value shares.
- Bylaws restated terms of the EUR 500 million capital increase mandate granted June 11, 2024, including warrants under “Fincantieri Warrants 2024 - 2026”.
- Board-set terms include EUR 2.62 subscription price for new shares, up to 152,419,410 shares issued, option ratio 9-for-10.
- Warrant terms include EUR 4.44 subscription price for compendium shares, exercise ratio 5 shares per 34 warrants, up to 22,414,615 shares.
- Bylaws also reflect free share issuances for incentive plans: up to 2 million shares authorized through Dec. 31, 2026, including 837,406 issued.
