Anthropic also announced the implementation of a dynamic increment mechanism—whenever the valuation rises 50% above the baseline, the board can allocate an additional 2% of shares. Combined with the founders and employees’ donation plan, about 20% of shares will be used for public interest purposes. This comes as Anthropic plans for an IPO in November and reported $16.8 billion in revenue for Q3, with industry insiders seeing this as a strategic move balancing necessity and image.

AI leader Anthropic has announced it will inject 5% of its company shares into a newly established public benefit fund, with a mechanism that automatically increases the shareholding proportion as the company's valuation grows. This move will ultimately allocate about 20% of Anthropic's shares for public benefit.

On Sunday (October 18), Anthropic announced that, subject to shareholder approval, it will inject 5% of company shares into its newly created "Anthropic Public Benefit Fund". Furthermore, each time the company's valuation increases by 50% above the set baseline, the board may, at its discretion, allocate an additional 2% of shares. The fund will operate as a wholly-owned LLC instead of a traditional 501(c)(3) tax-exempt nonprofit, retaining flexibility to accommodate various donation formats. The company makes it clear that equity held by this LLC cannot be used for lobbying or political donations in the United States or any other country.

In terms of use, Anthropic lists addressing AI's impact on the job market as one of its core priorities. The company states that AI may create tremendous economic value, but it may also cause instability for a large number of workers. Anthropic has previously committed $200 million for research and action on this issue but notes that "given the pace of AI progress, bolder measures may be necessary." The fund will have enough flexibility to explore large-scale donations to traditional nonprofits or direct cash transfers to specific groups, among other strategies.

The timing of this announcement is noteworthy. According to CNBC, Anthropic has reported to investors a Q3 revenue of $16.8 billion and plans to launch its IPO in November. Lise Buyer, partner at IPO advisory firm Class V Group, told CNBC that this public benefit fund announcement is necessary in the context of IPO preparation and "also greatly beneficial from an image perspective," especially against the backdrop of AI reshaping the job market.

Equity Structure: The Greater the Growth, the Higher the Public Benefit Proportion

Anthropic has designed the shareholding mechanism of the public benefit fund to dynamically track the company's growth. It starts with a 5% initial injection, and thereafter, every time the company’s valuation increases by 50% over a specific baseline, the board may allocate an additional 2% of shares at its discretion.

Combined with previous commitments, this arrangement will significantly expand the scale of Anthropic's public benefit shareholding. The company's co-founders committed at inception to donate 80% of their own equity holdings; the company also has an employee equity donation matching program, with about half of employees participating. Together, approximately 20% of Anthropic shares are currently allocated for public benefit, and this proportion could further increase as key valuation milestones are reached.

Anthropic points out that while tech companies customarily provide increasing stock incentives to executives, it has chosen to redirect this portion of shares to serve the public good.

Employment Impact: A Core Social Issue in the AI Era

The employment market impact is one of the key drivers behind Anthropic’s establishment of the public benefit fund. According to CNBC, citing an August report by the Pew Research Center, 71% of American adults believe AI will reduce U.S. jobs within the next two years.

Anthropic states that AI could bring huge economic value but may also cause significant job instability for workers. The company has previously committed a dedicated $200 million to research and address this problem but believes “given the speed of AI progress, even bolder action may be required.”

Lise Buyer states that if the fund can support retraining for re-employment, or help workers displaced by technology to find alternative job opportunities, Anthropic’s initiative would be viewed positively. She also notes, "Of course, this is also an effort to boost its own reputation at a time when AI is under intense scrutiny."

Strategic Moves Ahead of IPO

This announcement is closely aligned with Anthropic’s IPO plans. According to CNBC, Anthropic has disclosed $16.8 billion in Q3 revenue to investors and reportedly plans to move forward with a public offering in November.

Lise Buyer points out that this public benefit fund announcement is "mandatory" in the context of IPO preparation and also offers strategic value for image-building. In an environment of intensifying AI regulatory scrutiny and growing public concern about AI’s impact on employment, this move helps Anthropic project a responsible corporate image ahead of its listing.

In response to the announcement, Tesla and SpaceX CEO Elon Musk commented on X, suggesting he "recommends distributing the shares directly to the public."

Anthropic says it will further disclose details about the public benefit fund’s structure and governance in the coming months, including valuation milestones that could trigger additional share allocations. The company will also publish a public benefit report to disclose progress on its mission.
