08:22 AM EDT, 10/26/2026 (MT Newswires) -- (Updates with stock price moves in the first paragraph and details of the potential offering in the fifth paragraph.) Meta Platforms (META) stock gained more than 1% in Monday premarket trading after the company said it has launched two concurrent offerings worth about $35 billion, one for depositary shares representing new convertible preferred stock and one for $22.5 billion of class A common stock. Nvidia (NVDA), AMD (AMD) and Broadcom (AVGO) are interested in buying up to $5 billion of Meta shares, while Morgan Stanley (MS) and Goldman Sachs (GS) will buy $22.5 billion of class A stock under forward sale agreements settling on or before Nov. 19, 2027, with a $3.38 billion overallotment option, the company said. The depositary offering covers 250 million depositary shares. Underwriters can buy an additional 37.5 million shares within 30 days, and will be listed on Nasdaq under the symbol METAM, Meta said. The two offerings can close independently, and proceeds from both will be used for general corporate purposes; the preferred stock converts into common shares on or about Aug. 15, 2029, Meta said. The company also said that it plans to launch an approximately $60 billion at-the-market (ATM) offering after its previously announced Class C common stock begins trading.
