- According to a report by the Financial Times on Tuesday citing sources familiar with the matter, CVS Health (CVS.N) is considering splitting its healthcare empire, potentially separating the retail pharmacy chain business from its insurance business.

This spin-off would mark a major strategic reversal for CVS, which has previously built an integrated healthcare business through acquisitions, including its approximately $78 billion acquisition of health insurer Aetna in 2018.

The company is scheduled to release its third-quarter results on Wednesday, and its share price rose 1.2% in after-hours trading.

CVS Health has not immediately responded to Reuters’ request for comment.

The Financial Times said that discussions are still at a preliminary stage and no final decisions have been made.

According to reports, under the plan being considered, CVS may spin off its retail pharmacy business as a separately listed company.

The report also added that Aetna Insurance and pharmacy benefit manager Caremark will remain under the same corporate entity.

This potential restructuring comes at a time when pharmacy benefit managers are facing increased political and regulatory scrutiny in the United States over their roles in the drug supply chain, putting healthcare companies that combine insurance, pharmacy benefit management, and pharmacy operations under the spotlight.

The company’s 2025 revenue reached a record $402.1 billion, up 7.8% year-on-year.
